Accounts and eligibility
Nexus is a business service for insurance agencies and their authorized users. You must be at least 18 years old and authorized to act for the agency you register. You are responsible for the accuracy of your account information, for keeping credentials confidential, and for activity that occurs under your account.
Your content
You retain ownership of the records, documents, and other content you or your agency submit to Nexus. You grant Sourcy the limited rights needed to host, process, transmit, back up, and display that content in order to operate the service and to provide support. Additional rights are described in Use of data. You are responsible for having the rights and consents required for the information you upload.
Acceptable use
You agree not to misuse Nexus. That includes:
- Attempting to access accounts or data that are not yours.
- Probing or bypassing security or authorization controls.
- Interfering with service availability.
- Reverse engineering the service except as permitted by law.
- Providing access to others without authorization.
- Storing or transmitting unlawful, infringing, or malicious material.
Subscriptions, seats, and payment
Paid plans are billed in advance on a recurring basis through our payment processor, according to the plan and seat count in effect. Seat changes may adjust the amount charged for subsequent periods.
Unless required by law or stated otherwise in writing, fees already paid are non-refundable. Unpaid accounts may be suspended after notice.
Artificial intelligence features
Nexus includes AI-assisted features such as search, extraction, analysis, drafting, and transcription. Output may be incomplete or inaccurate and is not legal, insurance, financial, or other professional advice. You are responsible for reviewing AI output before relying on it or sending it to a third party.
Use of data
6.1 Your Content and Usage Data
“Your Content” means the information you and your users submit to or create in Agency Nexus, including records, forms, documents, messages, and AI prompts and outputs. “Usage Data” means information about how our services are accessed, used and perform. As between you and Sourcy, you retain ownership of Your Content.
6.2 License to Sourcy
You grant Sourcy Inc. and its affiliates a worldwide, non-exclusive, royalty-free license to host, store, copy, process, analyze, adapt and create derivative works from Your Content and Usage Data in order to (a) provide, operate, maintain, secure and support our services; (b) develop and improve our products and services; and (c) develop, train, test and improve artificial intelligence and machine learning models and technologies. We may engage service providers to perform these activities on our behalf.
6.3 De-identified and aggregated data
We may de-identify or aggregate Your Content and Usage Data so that it does not reasonably identify, and cannot reasonably be linked to, you, your organization, your clients or any individual (“De-identified Data”). Sourcy owns De-identified Data and may use, share, license or sell it to third parties for any lawful purpose, including for the development and training of their own artificial intelligence models. We contractually prohibit recipients from re-identifying De-identified Data. These rights survive termination of your account.
6.4 Personal and sensitive information
We never sell or share personal information, including nonpublic personal information about insurance consumers, or sensitive personal information, and we do not include it in any data we share, license or sell. We process the personal information you enter into Agency Nexus on your behalf to provide our services, in accordance with the Gramm-Leach-Bliley Act and applicable state insurance privacy laws.
6.5 Google user data
Our use and transfer of information received from Google APIs, including the Gmail API and the Google Drive API, adheres to the Google API Services User Data Policy, including the Limited Use requirements. We do not use that information to develop, improve or train generalized artificial intelligence or machine learning models, and we do not sell it.
6.6 Your responsibilities
You represent that you have all rights, permissions, notices and consents necessary to submit Your Content to Agency Nexus and to grant the license in this Section 6, including under your agreements with your clients.
6.7 Enterprise agreements
If you have a separate written agreement with Sourcy that addresses the use of your data, that agreement controls to the extent it conflicts with this Section 6.
Third-party services and integrations
Optional integrations connect Nexus to services you or your agency control. Enabling an integration authorizes the exchange of the information the integration requires. Third-party services are governed by their own terms and privacy practices, and we are not responsible for their availability or conduct.
Communications you send
When you use Nexus to send email, SMS, or calls to your own clients and contacts, you control the recipients, the content, and the required consent and opt-out handling, and you are responsible for complying with applicable communications and marketing law.
Privacy
Our handling of personal information is described in the Privacy Policy, which forms part of these terms. A data processing addendum is available on request.
Intellectual property
Sourcy and its licensors own Nexus, including its software, design, and trademarks such as Sourcy™ and Agency Nexus. These terms grant you a limited, non-exclusive, non-transferable right to use the service during your subscription and grant no other license.
Service changes and availability
We may add, modify, or discontinue features as the product evolves. We aim for continuous availability but do not guarantee uninterrupted service, and maintenance, updates, or events outside our control may cause interruption.
Suspension and termination
You may cancel your subscription at any time from your account. We may suspend or terminate access for non-payment, for a material breach of these terms, or where required by law or to protect the service and its users.
After termination we handle remaining content as described in the Privacy Policy, including deletion within approximately 90 days unless a longer period is legally required.
Disclaimers
Except as expressly stated in these terms and to the extent permitted by law, Nexus is provided “as is” without warranties of any kind, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Nexus supports agency operations; it does not provide insurance, legal, or accounting advice and does not replace professional judgment or carrier requirements.
Limitation of liability
To the maximum extent permitted by law, Sourcy is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total liability arising out of or relating to Nexus is limited to the amounts you paid for the service in the twelve months before the event giving rise to the claim.
Governing law
These terms are governed by the laws of the State of Florida, United States, without regard to its conflict-of-laws rules. Disputes will be brought in the state or federal courts located in Florida, and both parties consent to that venue and jurisdiction.
Changes to these terms
We may update these terms as Nexus or applicable law changes. We will post the revised terms on this page and update the effective date, with additional notice when a material change requires it. Continued use after an update means you accept the revised terms.
